Axiom Board Group Affiliate Program Terms and Conditions

These Affiliate Terms and Conditions ("Agreement") govern participation in the Axiom Board Group ("Company") Affiliate Program. By applying to or participating in the program, you ("Affiliate") agree to the following terms.

Section 1: Program Overview

The Affiliate Program allows approved affiliates to promote Company products and earn commissions on qualified sales generated through their unique referral links or approved tracking methods.

Section 2: Eligibility and Acceptance

All affiliates are subject to approval at the Company's sole discretion. The Company reserves the right to accept or reject any application for any reason. Affiliates must provide accurate and complete information during registration.

Section 3: Commission Structure

Affiliates earn 50% commission on direct sales generated through their referral. Affiliates earn 5% commission on Tier 2 sales (sales generated by affiliates they directly recruit). Affiliates earn 3% commission on Tier 3 sales (sales generated by affiliates recruited by their Tier 2 affiliates). Commissions are one-time payments and do not include recurring revenue unless explicitly stated in writing. Commissions apply only to the base package and setup fees, unless otherwise specified.

Section 4: Qualified Sales

A sale is considered "qualified" if:

  • Payment has been successfully processed and received by the Company
  • The transaction is not refunded, disputed, or charged back
  • The customer is not an existing lead or customer in the Company's system prior to the affiliate referral (unless explicitly approved)

Section 5: Payment Terms

Commissions are paid 60 days after the month ends when the transaction occurred. Commissions will only be paid on fully collected, non-refunded transactions. The Company reserves the right to withhold commissions pending fraud review or investigation. Affiliates must submit a valid W-9 form and required payment details before receiving payouts. The Company may establish a minimum payout threshold at its discretion.

Section 6: Refunds, Chargebacks and Clawbacks

No commissions will be paid on refunded or disputed transactions. If a commission has already been paid on a transaction that is later refunded or charged back, the Company reserves the right to deduct that amount from future payouts.

Section 7: Attribution Rules

Commission attribution is based on a last-click model, unless otherwise specified. Referral tracking is valid for 90 days from the initial click. If multiple affiliates refer the same customer, the last valid tracked referral will receive credit. Leads or customers already in the Company's database are not eligible for commission unless approved in writing.

Section 8: Affiliate Responsibilities

Affiliates agree to:

  • Promote Company products accurately and honestly
  • Use approved messaging and positioning where provided
  • Comply with all applicable laws and regulations
  • Act in good faith and in a manner that reflects positively on the Company

Section 9: Prohibited Activities

Affiliates may not:

  • Make false or misleading claims about the Company's products, services, or results
  • Guarantee outcomes such as income, ROI, or business results
  • Use spam, unsolicited messaging, or deceptive marketing practices
  • Run paid advertisements using the Company's brand name or trademarks without written permission
  • Misrepresent pricing, offers, or terms
  • Impersonate the Company or present themselves as employees or agents
  • Create unauthorized websites, funnels, or pages that mimic or represent the Company

Violation of this section may result in immediate termination and forfeiture of unpaid commissions.

Section 10: Marketing and Brand Guidelines

Affiliates must not modify core offer messaging in a way that misrepresents the Company. Use of logos, trademarks, or branded assets must comply with Company guidelines. The Company reserves the right to request removal or modification of any promotional content.

Section 11: Independent Contractor Status

Affiliates are independent contractors and are not employees, partners, or agents of the Company. Affiliates have no authority to bind or represent the Company in any capacity.

Section 12: Taxes and Compliance

Affiliates are solely responsible for all tax obligations related to commissions earned. The Company will issue applicable tax forms (including 1099s) as required by law.

Section 13: Termination

The Company may terminate an affiliate's participation at any time, with or without cause. Upon termination:

  • Eligible, compliant commissions may be paid at the Company's discretion
  • Violations of this Agreement may result in forfeiture of unpaid commissions

Section 14: Fraud and Abuse

The following constitute fraud and will result in immediate termination:

  • Self-referrals or attempts to generate commissions on personal purchases
  • Use of stolen payment methods
  • Creation of fake leads or transactions
  • Manipulation of tracking systems

The Company reserves the right to investigate and take action on any suspected abuse.

Section 15: Non-Circumvention

Affiliates agree not to directly solicit or offer competing services to leads or customers introduced through the Company for a period of 12 months without written consent.

Section 16: Non-Disparagement

Affiliates agree not to make false, misleading, or damaging statements about the Company publicly or privately.

Section 17: Limitation of Liability

The Company is not liable for indirect, incidental, or consequential damages, including lost profits or business interruption. Total liability shall not exceed commissions earned by the Affiliate.

Section 18: Modifications

The Company reserves the right to update or modify this Agreement at any time. Continued participation in the Affiliate Program constitutes acceptance of any changes.

Section 19: Governing Law

This Agreement shall be governed by and construed in accordance with the laws of the State of Iowa.

Section 20: Acceptance

By applying to or participating in the Affiliate Program, the Affiliate acknowledges that they have read, understood, and agreed to these Terms and Conditions.
